1. Acceptance of Terms
By accessing or using Kognite (“the Service”), operated by Global Software Development EU (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.
You represent that you are at least 18 years of age or the age of majority in your jurisdiction, whichever is greater, and have the legal capacity to enter into a binding contract.
2. Description of Service
Kognite is a Portable Agent Memory SaaS platform that provides persistent, cross-provider memory for AI agents through a bi-temporal knowledge graph, semantic search, and an MCP-native gateway. The Service includes API access, a web dashboard, and related tools and documentation.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify you of material changes.
3. Account Registration
To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
4. Usage Rights and Restrictions
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations;
- Reverse engineer, decompile, or disassemble any portion of the Service;
- Interfere with or disrupt the Service or servers or networks connected to the Service;
- Use the Service to store or transmit malicious code, malware, or any content that infringes on intellectual property rights;
- Exceed rate limits or use the Service in a manner that unreasonably burdens our infrastructure;
- Resell, sublicense, or redistribute the Service without our express written permission.
5. Payment and Billing
Certain features of the Service are offered on a paid subscription basis. By selecting a paid plan, you agree to pay all fees associated with that plan as described at the time of purchase.
All fees are quoted in United States Dollars (USD) and are non-refundable except as required by applicable law. We may change our fees upon 30 days’ notice. Your continued use of the Service after a fee change constitutes your acceptance of the new fees.
You are responsible for providing valid payment information and authorizing us to charge your payment method for all fees incurred. Late payments may result in suspension or termination of your access to the Service.
6. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Global Software Development EU and its licensors. The Service is protected by copyright, trademark, and other laws.
You retain all rights to the data and content you upload to or generate through the Service (“User Content”). By using the Service, you grant us a limited, worldwide, royalty-free, non-exclusive license to process, store, and transmit your User Content solely as necessary to provide the Service to you.
7. Third-Party Services
The Service may integrate with or link to third-party services, including but not limited to AI model providers (such as OpenAI and Anthropic), payment processors (such as Stripe), and authentication providers (such as GitHub and Google). We are not responsible for the content, privacy practices, or availability of any third-party services.
Your use of third-party services is governed by their respective terms of service and privacy policies. We encourage you to review those policies before using any third-party integrations.
8. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.
Upon termination, your right to use the Service will immediately cease. We will make reasonable efforts to provide you with a copy of your User Content upon request, provided such request is made within 30 days of termination. After 30 days, we may delete your User Content.
All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free; that the results obtained from the use of the Service will be accurate or reliable; or that any errors in the Service will be corrected.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GLOBAL SOFTWARE DEVELOPMENT EU, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your use or inability to use the Service;
- Any unauthorized access to or use of our servers and/or any personal information stored therein;
- Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content made available through the Service;
- Any interruption or cessation of transmission to or from the Service.
Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) one hundred United States Dollars ($100.00).
11. Indemnification
You agree to defend, indemnify, and hold harmless Global Software Development EU and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your User Content caused damage to a third party.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation, it shall be submitted to the exclusive jurisdiction of the courts located in Bucharest, Romania.
For EU consumers: nothing in these Terms affects your statutory rights under applicable consumer protection laws. You may also be entitled to bring a dispute before the competent court in your country of residence.
13. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice before any new terms take effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.
